CIPC Company Services – Registration & Compliance Facilitation

Design4Africa offers a full range of CIPC Company services to support company registration, compliance filings, and business documentation in South Africa. We do not provide business consulting or legal advisory services, but instead focus on the execution and facilitation of statutory requirements through the Companies and Intellectual Property Commission (CIPC).

To enable us to act on your behalf, you must complete and submit a Limited Power of Attorney (LPOA) form along with certified ID documents for all Directors or Members. This step is mandatory for all services.

Limited Power of Attorney (LPOA) Submission Instructions

1. Download the LPOA (Limited Power of Attorney Form) from the link button above.
2. Print one copy of the form for each Director or Member of the company.
3. Complete the form and ensure it is signed by the respective Director or Member.
4. Scan the signed LPOA together with a certified copy of their ID or Foreign Passport.
5. Rename each PDF file using the full name of the Director or Member (e.g., Thabo_Mokoena.pdf).
6. Email all scanned documents to: cipc@design4africa.com

Private Company (Pty) Ltd Registration

This service registers a private company with CIPC, including the automatic assignment of a SARS tax number. The registration enables the business to open bank accounts, apply for tenders, and trade legally. Clients receive a CIPC registration certificate, company number, and listing in the official CIPC database.

Nonprofit Organization (NPC) Registration

This service registers a Nonprofit Company (NPC) for public benefit activities. All profits must be reinvested into the organization's mission. The service includes legal structuring, MOI filing, CIPC registration, and a SARS tax number. Suitable for NGOs, social enterprises, and donor-funded projects.

Beneficial Ownership Filing

 We handle your mandatory Beneficial Ownership filing with CIPC, ensuring legal compliance and transparency in line with July 2024 regulations. Service includes first beneficial owner; additional owners are processed as add-ons. Premium Service Fee includes CIPC cost, but excludes Beneficial Ownership Document Preparation which is charged seperately at R375 per document for these: Original Mandate, Securities Register, Disclosure Form, if a client can provide these documents, they can pay the minimum of R650.

Annual Returns Filing

This service ensures your company’s legal status remains active by filing your CIPC annual return on the anniversary of your registration date. Filing prevents penalties and deregistration. All submissions include confirmation of compliance and updated CIPC records.

Company Amendments

We facilitate formal changes to company records such as director appointments or resignations, company name changes, address updates, shareholding changes, MOI updates, or financial year-end changes. Each amendment is submitted to CIPC and confirmed with updated records.

B-BBEE Certificate Application

This service prepares a B-BBEE Affidavit or Certificate for exempted micro enterprises and qualifying small enterprises. Required for government tenders and supplier registrations. The service includes document preparation and guidance to ensure regulatory accuracy.

Share Certificate Filing

We prepare and issue official share certificates that document each shareholder’s ownership in the company. These certificates are often required for banking, investor onboarding, or internal corporate governance. Delivered in professionally formatted, CIPC-compliant documents.

MOI Filing & Amendments

We assist with the filing or amendment of the company’s Memorandum of Incorporation (MOI), which outlines rules of governance, shareholder rights, and decision-making protocols. This service is necessary for companies that require custom structures or are undergoing internal changes.
